When is a mutation to the Commercial Register necessary?
If an information is entered in the Commercial Register and is amended, this information must also be entered in accordance with Art. 937 CO. If a company entered in the Commercial Register ceases to exist or is transferred to another person, the previous owners are obliged to have the entry deleted in accordance with Art. 938 CO.
How much does it cost to change my entry in the Commercial Register?
The price varies depending on the order. A simple change without an amendment to the articles of association costs between CHF 150.00 (e.g. change of legal domicile) and CHF 370.00 (e.g. change of domicile and transfer of shares). If the articles of association need to be changed, this requires public certification by a notary and costs CHF 450.00. The price for the liquidation of a legal company is CHF 580.00.

Are there price differences between the cantons?
There are generally price differences between the cantons for ordering extracts from the commercial register, certified articles of association or express procedures. Otherwise, the Fee Ordinance applies to all cantonal commercial registers.
Can I make several changes at the same time?
Yes, this is possible.

What is required to change an entry in the Commercial Register?
An amendment to the Commercial Register always requires an application to the competent Commercial Register Office with a list of all changes to be entered. In the case of a Ltd/LLC, this application must be signed by the management or the board of directors. Two signatures are required for collective signatures or one signature for individual signatures. In the case of a general partnership, the registration must be signed by all partners, and in the case of a sole proprietorship by the owner.

How long does it take to change the entry in the commercial register?
Changing an entry in the Commercial Register usually takes about two weeks as soon as the documents are received by the Commercial Register. However, the duration may vary from canton to canton.

To whom is the change request submitted?
An application for a change of entry in the commercial register must be submitted to the competent cantonal commercial register office.

When does a signature have to be certified?
A certified signature is required if a person is newly authorized to sign on behalf of the company concerned. Persons whose existing signing authority is to be changed (for example, from collective to individual signature) do not require a certified signature. The signatures of the persons signing the application in the event of a transfer of the registered office to a new canton must also be certified.
How can I have my signature certified?
You can obtain these signature certifications from the chancellery of the commune or town using your passport/identity card or from a notary public in your region. Exceptions are the Canton of Berne, the French-speaking cantons and Ticino: here you need to see a notary.
What do I have to take into account when transferring the registered office of my Ltd. or LLC to another canton?
The articles of association certified by the notary must be obtained from the commercial register office responsible for the company's current registered office (we charge an additional fee of CHF 40 to cover the costs).
